We have advised our clients on all aspects of the structuring, financing and legal and regulatory aspects of multi-million-dollar real estate projects, power projects and infrastructure projects across the real estate, “retailtainment”, domestic and cross border power and oil & gas sectors. Our in-depth knowledge of the sectors in which we operate enables us to provide clients with all-encompassing commercial and practical legal advice from project inception to execution and extends to post-completion operation and management of projects.

Representative Experience

  • Advising the Nigerian National Petroleum Corporation (NNPC) in connection with the financing, engineering, procurement and construction of the Ajaokuta-Kaduna-Kano (AKK) Pipeline & Stations Project.
  • Advising Milhouse Energy Services in connection with the construction and development of a 60mw power plant at the Agbara industrial cluster.
  • Advised Lubari Power on the restructuring of a US$300,000,000 power project in Nigeria.
  • Advising an international consortium that is looking to acquire oil and gas assets from the Federal Government of Nigerian in the Marginal Fields Bid Round, 2020.
  • Advised the Federal Ministry of Trade and Investments in connection with the proposed public private partnership via a concession to design, finance, build and operate technology-enabled Micro, Small and Medium Enterprises (MSME) solution.
  • Advised Geogrid Lightec Limited in relation to the development of US$200 million modular embedded power projects in Lagos and Ogun States.
  • Advising Hydro Stream Solar One Limited and Hydro Stream Solar Jebba Limited in relation to the development of a 150MW and 350MW solar photovoltaic power project in the Northern region of Nigeria, Niger State.
  • Advising an international consortium in its participation in the 2020 Nigerian Pipelines and Storage Company Limited (NPSC), a subsidiary of the Nigerian National Petroleum Corporation (NNPC), bid round for the rehabilitation of existing pipelines and construction of new pipelines and refined oil products storage depots through a Build Operate and Transfer (BOT) project delivery model, including, but not limited to the Escravos Terminal to Warri Refinery and Petrochemical Company Limited Crude Oil Pipeline.
  • Advising Lekki Retailtainment Limited on all legal aspects of the structuring, financing, construction, development and leasing of a multi-million-dollar mall and aparthotel/co-living residents (a 10,000 square metre retail development), the Lekki Mall, in the Lekki area of Lagos, Nigeria.
  • Advised Maryland Mall Limited (“MML”), on all legal aspects of the structuring, financing, construction, development and leasing of the multi-million-dollar Maryland Mall (a 7,000 square metre retail development in Lagos, Nigeria).
  • Advised China’s Offshore Oil Engineering Co. Ltd (COOEC) on its provision of engineering, procurement and construction services to Dangote Petroleum Refinery & Petrochemicals Free Zone Enterprise and Dangote Oil Refining Company Limited, the first private refinery in Nigeria in connection with Dangote’s US$17billion gas pipeline, fertilizer, petrochemicals and refinery project at the Lekki Free Trade Zone Lagos, Nigeria.
  • Advised Phoenix-MMEER III Limited in connection with its multi-million-dollar acquisition of twelve (12) liftboats; and on the optimum Structure for investing in and operating liftboats in the Nigeria.
  • Advised a consortium of shipowning entities in connection with their sale of 6 offshore support vessels to a Nigerian shipowner.
  • Advising Engie Fenix Nigeria Limited (jointly owned by Engie (the largest independent power producer in the world) and Fenix), on its proposed off-grid renewable projects in Nigeria and neighboring countries.
  • Advising CWG Plc in connection with its role, as metering provider, in the Sura Market electrification project, in Sura Market of Lagos State. The transaction is being carried out under the auspices of the Federal Government of Nigeria’s new Energising Economies Initiative for the supply of, circa 1.5 megawatts off-grid electricity to the shopping/market complex.
  • Advised Sea Trucks Group Limited (in Liquidation) (and its subsidiary companies) in relation to the restructuring of its operations (including the repossession of vessels chartered into Nigeria).
  • Advised Garnet Homes Limited in relation to the acquisition, financing and development of Stonehenge Estates – a unique mixed development of 300 plots of land (along the Lekki Epe Expressway, Lagos, Nigeria) into serviced plots and houses (2 and 3-bedroom flats, 3 and 4-bedroom terrace duplexes with maid quarters down to 4-bedroom semi-detached units).
  • Advised Purple Real Estate Development Company Limited in connection with the financing, development and sale of 32 units of 4 Bedroom Terraced Town Houses in Lekki, Lagos, Nigeria known as Bishopsgate Residences.
  • Advising Lekki Retailtainment Limited in relation to a management agreement with a multinational hospitality company for the marketing and management of the aparthotel to be built on the Lekki Mall, in the Lekki area of Lagos, Nigeria.
  • Advised an international upscale hotel management company (with over 16,000 staff members, represented in 24 countries with 83 hotels and, resorts) and its Nigerian affiliate in the development of a world-class hotel with approximately 200 rooms in Nigeria.
  • Advising Electric Ategun Limited on its proposed off-grid wind energy project along the coastal areas of Victoria Island/Lekki Lagos State.
  • A Partner in the Firm was a key member of the team that advised Global Maritime and Port Services Pte, the Technical Adviser to the Ibom Deep Seaport in Akwa Ibom State (“IDSP”), on the proposed development of the IDSP. Tasks included the development of the Outline Business Case, and the negotiation of the concession, for the IDSP.
  • Advising Alten Energy in connection with the hybridization of a 404MW plant in Ghana into a hydro-solar hybrid plant; in addition to the review of a Power Purchase Agreement for the development and sale of solar energy in Ghana.
  • Advising Milhouse in connection with its development of a 17.5mw off-grid Coal fired Power Plant within the campuses of the University of Nigeria, Nsukka. The Firm successfully negotiated the Coal Power Purchase Agreement on behalf of Milhouse.
  • A Partner in the Firm was a key member of the team that advised the African Finance Corporation and Ecobank Nigeria Limited on the proposed development of a Multi-Purpose Port Terminal in Apapa, Lagos, Nigeria (for the import and export of bulk cargo, vehicle roll-on, roll off, and containers) by the Modandola Group and its foreign partners.
  • A Partner in the Firm was a key member of the team that acted as Legal Consultant to Lekki Port LFTZ Enterprise (wholly owned by the Tolaram Group) in connection with the establishment of the Lekki Deep Sea Port - the US$1billion first private port in Nigeria; advising on business startup, concession structure, financing, legal and regulatory regime.
