In addition, our team has provided support to lenders and borrowers on the structuring and restructuring of debt and convertible debt facilities in some of the most complex domestic and cross border financial transactions.

Representative Experience

  • The Firm is currently advising Milhouse Energy Services in connection with its proposed US$60,000,000 term loan from the American Export Import Bank for the construction and development of a 60mw power plant at the Agbara industrial cluster.
  • Advised Sterling Bank PLC in relation to a US$10,000,000 term loan facility advanced to a Nigerian marine company for the purpose of financing the acquisition of a double hull motor tanker vessel.
  • Advised Capital Trust Investments & Asset Management Limited in relation to a N15,000,000,000 term loan facility advanced to a Nigerian state government.
  • Advising the Nigerian National Petroleum Corporation (NNPC) in connection with the financing of the engineering, procurement and construction of the Ajaokuta-Kaduna-Kano (AKK) Pipeline & Stations Project.
  • Advising Nigerian National Petroleum Corporation (NNPC) in relation to ‘Project Cheetah’, a deal involving a US$3.7 Billion financing package included under a US$1.2 Billion multi-year drilling financing package for 23 onshore and 13 offshore wells under the NNPC/Chevron Nigeria Limited Joint Venture.
  • Advised Ribbit Capital in connection with the Nigerian aspect of its investment in Chipper Cash, the African cross-border fintech start-up which raised a US$30,000,000 Series B Funding in November 2020.
  • Acting as solicitor to the public offer of a N2,000,000,000 Halal Fixed Income Fund.
  • Acting as joint solicitor to a N15,000,000,000 Real Estate Sukuk issuance.
  • Advised Maryland Mall Limited in relation to a US$12,500,000 mezzanine facility advanced by Vantage Mezzanine III Pan African Sub Fund Partnership acting through its Ultimate General Partner, Vantage Mezzanine Fund III USD Proprietary Limited.
  • Advised Sea Trucks Group Limited (in Liquidation) (and its subsidiary companies) (“STG”), leading provider of offshore installation, accommodation and support services to the Oil & Gas industry worldwide, on the restructuring of the US$575 million Norwegian law Senior Secured Bonds issued by STG.
  • The Firm advised Norinco International Cooperation Limited (“Norinco”) in connection to a proposed indirect credit provision to Thor Exploration Nigeria. Norinco had entered into an Engineering, Procurement and Construction Contract (the “EPC Contract”) with a Nigerian company, established by Thor Explorations Limited, a listed company incorporated in Canada. The EPC Contract is for the dressing and melting of a gold mine in Nigeria.
  • The Firm acted as lender’s counsel to Northstar Europe S.A. on the financial restructuring of the approximately US$3,000,000 provided to Prima Preforms and Closures Limited (a company incorporated under the laws of Ghana) and guaranteed by the borrower’s parent company Prima Corporation Limited (a company incorporated under the laws of the Federal Republic of Nigeria). The Firm advised on the original facility and so was key to the refinancing.
  • Advised FIM Bank, Malta in connection with its client’s acquisition of a motor tanker vessel (that FIM Bank was part financing) from a Nigerian marine company.
  • Advised Phoenix-MMEER III Limited in connection with a multi-million-dollar senior secured asset backed term loan facility advanced by a foreign lender for the acquisition of twelve (12) liftboats from Hercules Oilfield Services Limited, Hercules Liftboat Company LLC and Hercules Offshore Nigeria Limited.
  • Advised ICICI Bank Limited, an Indian multinational banking and financial services company, on the provision of private banking services to Indian citizens currently residing in Nigeria.
  • Advised Zomay Marine & Logistics Limited in connection with the restructuring of the multi-million-dollar term loan facility (backed by an export credit facility) advanced by Nedbank Limited (acting through its Nedbank Capital division) for the acquisition of a multipurpose patrol and crew vessel.
  • Advised Waypoint Leasing on, the Nigerian law aspects of: the restructuring of its balance sheet and leverage as approved by the United States Bankruptcy Court for the Southern District of New York; and subsequent sale of its helicopter assets and management platform portfolio to Macquarie Rotorcraft Leasing (part of the Macquarie Group).
  • Advised Macquarie Rotorcraft Leasing on the change of ownership and registration of interests in the helicopters operating in Nigeria, following their purchase from Waypoint Leasing.
  • Advised on the de-registration of an AgustaWesland AW139 helicopter from the Nigerian Aircraft registry and obtaining the requisite clearances from regulatory authorities, following the cancellation of the aircraft lease.
  • Advised Export Development Canada in relation to the multi-million-dollar export credit backed financing of three (3) CRJ1000 aircraft and four (4) Q400 aircraft by Bombardier Inc., and two (2) spare engines by Pratt & Whitney, Canada to be used by Arik Air.
  • A Partner led the team that advised Guaranty Trust Bank PLC on a cross-border aircraft financing (involving Nigeria, UAE, Guernsey and Malta) for the acquisition of an Embraer Legacy 600 aircraft. In conjunction with Guernsey appointed counsel, the first charge on the Channel Islands Aircraft Registry (Guernsey) was registered. The aircraft and the Bank’s charge were subsequently registered on the Malta Aircraft Register.
  • Advised Musim Mas Group, a global integrated palm oil group operating in the up, mid and down streams areas of the palm oil value chain, on a revolving trade credit/facility involving its subsidiary, Inter-Continental Oils & Fats Pte Limited (“ICOF”) and Enriched Pte Limited (“EPL”), a Singaporean company and a subsidiary of Dufil Prima Foods PLC.
  • Advised Investec Bank Limited in connection with its purchase of multi-million-dollar receivables due from Systems Applications Products Nigeria Limited’s customers.
  • Advising Milhouse Incorporated (“Milhouse”) in connection with the financing and development of a 17.5mw off-grid Coal fired Power Plant within the campuses of the University of Nigeria, Nsukka.
  • Currently advising Lekki Retailtainment Limited on all legal aspects of the structuring, financing, construction and development of a multi-million-dollar mall and aparthotel/co-living residents (a 10,000 square metre retail development), the Lekki Mall, in the Lekki area of Lagos, Nigeria.
  • Advised PurpleMoney Microfinance Bank Limited in relation to the mobile money wallet services platform created in conjunction with Swipetech Limited.
  • Advised Lekki Retailtainment Limited in connection with US$4,000,000.00 bridge to bond facility provided by a syndicate of lenders for the acquisition of a property upon which Lekki Mall is to be developed in Lekki Lagos.
  • Advised the Lagos Business School, in conjunction with the Bill and Melinda Gates Foundation, on the legal structuring, framework and regulatory climate surrounding the operation of FinTech in Nigeria, focusing on the role of Digital Financial Services (“DFS”), a comparative analysis of its framework with other developing nations, including the institutional framework and regulatory supervision over the operation of DFS within Nigeria.
  • Advising Lubari Power Limited in connection with providing FinTech solutions in its engineering, procurement and construction contracts.
