Our Corporate, M&A and Securities practice group encompasses a variety of services including anti-trust and competition, asset management, compliance, joint ventures and alliances, mergers and acquisitions, private equity and venture capital, restructuring and insolvency. We have had significant experience advising foreign and domestic companies on the establishment of mutual funds and private equity funds in Nigeria including advising on the first ever acquisition of a mutual fund and first integration of two mutual funds in Nigeria, as well as advising clients on share and asset acquisitions and divestments of existing interests. Our Corporate, M&A and Securities practice group also encompasses our business advisory services through which we provide general legal, commercial and compliance advice to clients to both domestic and international clients in a variety of sectors on all aspects of their business. 

Our practice group members are notable practitioners with cross cutting experience and ability to support our clients’ various needs be it in connection with domestic, cross border and/or international transactions. We have been instrumental to some of the largest and successful mergers and acquisitions deals in Nigeria.

Representative Experience

  • Advised Beta Ventures Partners LLC, an American company focused on investing in technology and technology-enabled startups, on the establishment of a fund holding company in Nigeria and investments in the fund holding company by the initial investors.
  • Advised Starsight Nigeria Limited on the divestment of its equity interests in Starsight Power Utility Limited, a company whose investors are African Infrastructure Investment Managers (AIIM), one of Africa’s leading infrastructure equity investment managers and a member of Old Mutual Alternative Investments (OMAI) and one of the largest Africa-focused private investment firms, Helios Investment Partners.
  • The Firm is currently advising EaziFunds Capital Limited on the establishment of crowdfunding platform to enable debt & equity capital raising activities.
  • Advised Papi Printing Company Limited on its joint venture with Iris Smart Technologies Limited, to execute a contract entered into with the Federal Government of Nigeria for the procurement of E-passports from the Nigerian Immigration Service and printing of bank notes for the Central Bank of Nigeria.
  • Advised Alternative Capital Partners Limited (ACAP) in relation to the setup of the ACAP CanaryGrowth Fund for the acquisition of the management interest and transfer of fund management role in Oceanic Vintage Fund and Intercontinental Integrity Fund. This transaction was the first ever acquisition of a mutual fund followed by the first ever integration of two (2) mutual funds in Nigeria.
  • Advised ACAP iClass LLP on its acquisition of Skye Bank PLC’s 51.95% shareholding in Law Union and Rock Insurance PLC.
  • Advised RSA Insurance Group PLC and its assured, Damco Logistics (Nigeria) Limited, in relation to the damage to a switchgear medium voltage regulator during the Nigerian leg (from Apapa port, Lagos to Abuja in the Federal Capital Territory) of its multimodal transport from the United States of America to Nigeria.
  • Advised a consortium of private investors in connection with the divestment of their controlling interests in a Nigerian hospitality special purpose company that owns an upscale boutique hotel.
  • Advised Chubb Insurance South Africa Limited in relation the coverage of a public/product liability policy to a claim by the Nigerian customer of the assured (a leading retailer in Africa).
  • Advised a consortium of private investors in connection with their acquisition of a shares in a Nigerian insurance brokering company.
  • Advised on franchises for the establishment of a chain of South East Asian themed restaurants in Nigeria and Ghana.
  • Advised Maryland Mall Limited, on all legal aspects of the structuring, construction, development and leasing of the multi-million-dollar Maryland Mall (a 7,000 square metre retail development in Lagos, Nigeria).
  • Advised Siem Offshore Incorporated in relation to its proposed joint venture with a Nigerian offshore service company. We conducted due diligence on Nigerian target offshore service companies and advised on the joint, venture structure in light of the Nigerian Local Content Act, the Cabotage Act and other regulatory requirements.
  • Advised Ocean Installer AS on its proposed incorporated joint venture with a Nigerian service company to provide the full range of subsea services including engineering, procurement, construction and installation services particularly within the subsea structures, umbilicals, risers and flowlines segment of the Nigerian oil and gas industry.
  • Advised Pharmagenic Limited, a Nigerian pharmaceutical company with a chain of retail pharmacy stores and an individual investor, on their acquisition of Citimax Resources Limited, a pharmaceutical company registered in Nigeria and its pharmacy, Citimax Pharmacy.
  • Advised Bevekt, a pharmaceutical company developing herbal products, on its joint venture with Pax Herbal Clinic and Research Laboratories Limited, a company engaged in the manufacturing, packaging and distribution of medical products in Nigeria.
  • Advised a Lloyd’s syndicate of reinsurers, American insurers (the “Insurers”) and the owners of the liftboat MAKO, on legal issues related to the total loss of the MAKO, as a result of a fire incidence on a nearby rig at a contract location in Nigeria; the owner’s rights for compensation claim(s) and negotiating the Insurers claim for damages to the MAKO.
  • Advised EMAS Offshore Limited (a member of the Ezra Holdings Limited) on the dissolution of its Nigerian joint venture oil services company.
  • Advised on the winding-up of several Nigerian companies.
  • Advised the Nigerian Gas Marketing Company Limited (“NGMC”), on the restructuring of a joint venture company formed by NGMC and NIPCO Limited.
  • Advised Sea Trucks Group Limited (in Liquidation) (and its subsidiary companies) in relation to the restructuring of its operations (including the repossession of vessels chartered into Nigeria).
  • As part of a global restructure of General Electric's Tax and Audit Unit, the Firm recently advised General Electric on the transfer of its Tax and Audit Unit employees in Nigeria to PriceWaterhouseCoopers.
