Acted for Alternative Capital Partners Limited (ACAP) in relation to the setup of the ACAP Canary Growth Fund for the acquisition of the management interest and transfer of fund management role in Oceanic Vintage Fund and Intercontinental Integrity Fund. This transaction was the first ever acquisition of a mutual fund followed by the first ever integration of two (2) mutual funds in Nigeria.
Advised Alternative Capital Partners Limited (ACAP) (in conjunction with Swede Control Intertek) on the set up of the ACAP iClass LLP. We also advised ACAP iClass LLP on its acquisition of Skye Bank PLC’s 51.95% shareholding in Law Union and Rock Insurance PLC.
Advised Maryland Mall Limited in relation to a N800 million (debt and convertible debt) facility advanced by AXA Mansard InvestmentsLimited and AXA Mansard Insurance PLC.
Advised an international Bond Trustee and its Bond Holders on the restructuring of the US$571 million bond issued by an international group of companies offering offshore installation, accommodation and support services to the Oil & Gas industry worldwide (“Bond Issuer”). The restructuring was to enable the Bond Issuer take advantage of the benefits of the Nigerian Oil and Gas Industry Content Development Act, 2010 and the Coastal and Inland Shipping (Cabotage) Act 2003.
Advised Guaranty Trust Bank Plc on a cross border aircraft financing (involving Nigeria, UAE, Guernsey and Malta) for the acquisition of an Embraer Legacy 600 aircraft and in conjunction with Guernsey appointed counsel registered the first charge on the Channel Islands Aircraft Registry (Guernsey). The aircraft and the Bank’s charge were subsequently registered on the Malta Aircraft Register.
Advised a foreign domiciled bank on the provision of private banking services to citizens of its country of incorporation currently residing in Nigeria.
